Paul V. Scura
Mr. Scura is, along with Mr. Rise, a founding partner of SRP. Prior to joining SRP, Mr. Scura held a series of positions with Prudential Securities including, most recently, Executive Vice President and Head of the Investment Bank and Vice Chairman, Head of private equity activities from 1986 to 2000. He was responsible for the firm’s efforts in the areas of Mergers and Acquisitions, Restructuring and Reorganization, Private Finance, High Yield Finance and all International and US Investment Banking. Mr. Scura also sat on the Business Review Committee (the firm’s investment banking screening committee) and was a member of the firm’s Operating Council. He was a voting member of the Investment Committee of four separate private equity funds and Prudential Securities merchant banking fund, Prudential-Bache Interfunding. Mr. Scura began his professional career with J.P. Morgan & Co. in 1975 where he spent 11 years in both New York and London. Mr. Scura received an A.B. degree in Economics from Villanova University and an M.B.A. degree in Finance from the Wharton School of the University of Pennsylvania. Mr. Scura is a trustee of the Seton Hall Preparatory School, sits on the Business Schools Advisory Board at Villanova University and was an elected member of the Board of Education in Essex Fells, New Jersey. Mr. Scura also currently serves as Chief Operating Officer for Xspand, a consulting and applications software provider to local governments, and Managing Director of Dornoch Holdings, LLC, a real estate and development company which invests in special situation real estate opportunities.

P. Carter Rise
Mr. Rise is, along with Mr. Scura, a founding partner of SRP. Prior to SRP, Mr. Rise was Managing Director and Group Head of the Financial Services Group at Prudential Securities Incorporated from 1996 to 2000. Prudential Securities’ Financial Services Group (FSG) was an integral platform focused on serving the investment banking needs of financial institutions. FSG consisted of a financial institutions industry group and asset backed securities, collateralized debt obligations and debt originations product groups. Mr. Rise created the Financial Services Group in early 1996 and was responsible for growing the business from approximately $15 million in annual revenue to over $100 million over a five-year period. FSG represented clients in financings which generated over $100 billion in gross proceeds and encompassed virtually every form of security or advisory assignment during this five-year period. Mr. Rise served on many of Prudential Securities’ governance and management committees, including the Operating Council, the Investment Banking and Fixed Income Business Review Committee and the Investment Committees for Roman Arch I and II. From 1993 to 1996, Mr. Rise managed Prudential Securities’ Private Placement Group. From 1987 to 1992, he was an Associate and a Vice President in the firm’s High Yield and Private Placement Groups. Mr. Rise received his M.B.A. degree from the Wharton School at the University of Pennsylvania in 1987 and a B.S. degree in Commerce from the McIntyre School of Commerce at the University of Virginia in 1982. Mr. Rise serves on the Board of Directors of the St. Catherine’s School Foundation.

Denis F. Kelly
Mr. Kelly is a Managing Partner at SRP. Before joining SRP, Mr. Kelly was Managing Director and Co-Head of the Mergers and Acquisitions Group of Prudential Securities Incorporated from 1993-2000. Prior to joining Prudential Securities in July 1993, Mr. Kelly was President of Denbrook Capital Corp., a merchant banking firm, from 1991 to 1993. Prior to Denbrook, Mr. Kelly was at Merrill Lynch from 1980 to 1991 where he was a Managing Director, Mergers & Acquisitions, 1984 to 1986, and then a Managing Director, Merchant Banking, 1986 to 1991. Mr. Kelly began his investment banking career at Lehman Brothers where he worked in Investment Banking from 1974 to 1980. Mr. Kelly graduated from Amherst College in 1971 majoring in Cultural Anthropology and received his M.B.A. degree from the Wharton School, University of Pennsylvania, in 1974. Mr. Kelly is on the Board of Directors of Kenneth Cole Productions Inc. (NYSE), MSC Industrial Direct Co. Inc. (NYSE), Plymouth Financial Company, Inc., and Xspand, Inc.

Matthew D. Vertin
Mr. Vertin is a Partner at SRP. Mr. Vertin has a broad range of experience in raising capital in both the public and private capital markets as well as providing financial advisory services to a diverse array of companies. Before joining SRP he was a Director and the Head of the Financial Technology Investment Banking Group at Prudential Securities where he worked with both public and private financial technology companies. Prior to that he was in the Financial Institutions Group at Prudential Securities where he worked on many transactions in the specialty finance, banking and insurance industries. After graduating from business school, Mr. Vertin worked for the famed investor Mario Gabelli in the research and sales areas of Gabelli Asset Management. Mr. Vertin has an M.B.A. degree from Columbia University and a B.S. degree from the United States Military Academy at West Point.

Earl B. McClanahan
Mr. McClanahan is a Partner at SRP. Mr. McClanahan has advised numerous companies with respect to a variety of complex corporate financing issues. Assignments have included mergers, acquisitions, divestitures, leveraged buyouts and recapitalizations, joint ventures, spin-offs, restructurings and public and private debt and equity financings. Prior to joining SRP, Mr. McClanahan was a Managing Director in the High Yield department at JP Morgan Chase & Co., where he was responsible for leveraged transactions in the Chemicals; Energy/Power; Healthcare; Metals & Mining; Paper, Packaging & Building Products; and Technology sectors as well as the Middle Market. Additionally, Mr. McClanahan was responsible for coordinating all of JP Morgan’s high yield and high grade debt underwriting, private debt placement, structured finance, asset-backed, commercial paper, credit and derivatives activities in the Paper, Packaging & Building Products industries. From 1994 to 2000 Mr. McClanahan was responsible for coverage of the Paper, Packaging & Building Products industries at J.P. Morgan & Co. Incorporated (1998-2000) and Bear, Stearns & Co. Inc. (1994-1998). Mr. McClanahan began his career at Prudential Securities Incorporated where he worked in Investment Banking from 1990-1994. Mr. McClanahan received his M.B.A. degree from the University of Michigan in 1990 and a B.A. degree from Washington & Lee University in 1982.

Robert J. Aiello
Rob Aiello is a Partner at SRP. Rob brings 18 years of M&A and leveraged finance expertise with large and medium cap companies. While at Prudential Securities Inc he was head of Technology M&A and a member of the Investment Banking Management Committee. Prior to joining Prudential, Rob held senior M&A positions at Donaldson, Lufkin and Jenrette and J.P. Morgan. Rob joined SRP from Updata Capital, where he was a partner, and a leader in the firm’s software and IT services practice. Rob is a recognized authority on mergers and acquisitions. He has spoken at numerous conferences, guest lectured at Harvard Business School, and co-authored “The Friendly Art of M&A” in the November-December 2000 issue of Harvard Business Review. He is also on the advisory board of the Information Policy Institute, a think tank devoted to emerging information issues. Rob received Juris Doctor from the University of Toronto and a Masters of Business Administration from the University of Western Ontario.

William J. Seery
Mr. Seery is a Partner at SRP. Prior to joining SRP, Mr. Seery was the CFO of The Standard Group, a privately held manufacturer of folding cartons from 2002 to 2007. Prior to that, Mr. Seery was a Managing Director at CIBC World Markets where he ran the Information Technology Services and Communications Software groups (2000 – 2002). From 1996 to 2000, Mr. Seery was a Managing Director at Prudential Securities where he led the Information Technology Services and Communications Software investment banking efforts. Mr. Seery spent 1990 to 1996 at Tucker Anthony Incorporated raising public and private capital and providing financial advisory services to companies in diverse industries including business services, information technology, medical supply distribution, industrial sand processing, consumer products and restaurants. Mr. Seery began his investment banking career at Prudential Securities working as a generalist Associate from 1989 to 1990. Mr. Seery began his financial services career as a commercial banker, working for five years with exposure to Fortune 1000, middle market, asset based and LBO clients at Marine Midland Bank and European American Bank, where he was credit trained. Mr. Seery received his M.B.A. degree from the Darden School of Business of the University of Virginia in 1989 and a B.A. degree in Economics from the University of Virginia in 1982.
